1. Introduction

Welcome to PlayArena! These Terms and Conditions of Use ("Terms") govern your access to and use of the PlayArena platform (the "Platform"), including our website at play-arena.me and any associated mobile and PC applications (the "Applications"). "PlayArena," "We," "Us," and "Our" refer to PlayArena, the owner and operator of the Platform, with the following Udyam Registration details:

The Platform provides a venue for users ("Users," "You," "Yourself") to participate in skill-based mobile and PC gaming competitions ("Competitions") and potentially win prizes.

By visiting or accessing the Platform, registering and creating an Account on the Platform, using and availing the Services available on the Platform, providing any information on the Platform, and otherwise making use of the Platform, whether impliedly or expressly, You acknowledge and accept these Terms and enter into a binding contract with PlayArena.

PlayArena encourages and advises all Users to read and understand these Terms prior to making use of the Platform and the Services. Your use of, and access to, the Platform and Services is subject to these Terms.

2. Definitions

• Applicable Law: Any relevant law, statute, rule, regulation, ordinance, guideline, by-law, or subordinate legislation of India.
• Platform: The PlayArena website (play-arena.me), associated mobile and PC applications, and any other digital platforms of PlayArena.
• Content: Any content which a User can upload, manage and/or control through the User’s Account using functionalities available on the Platform subject to the Terms and applicable Policies and shall refer to any and all content which a User may upload, post or link to, on the Platform
• Direct Business Partner(s): Any natural and legal person(s) with which PlayArena has a business arrangement under a definitive agreement, in relation to the functioning of the Platform and its Services, such as for facilitating, providing and/or delivering certain functionalities on the Platform.
• Indirect Business Partner(s): Any natural and legal person(s) with which PlayArena holds no contractual or legal business relationship, but with which a Direct Business Partner may have a business arrangement under a definitive agreement
• Minor User(s): A Minor (as defined below) User of the Platform, who is not eligible to create or register an Account on the Platform and/or avail the Services unless due consent and approval is granted from the Minor’s Legal Guardian
• User(s): Individuals who access, use, or participate on the PlayArena Platform.
• User Information: Information relating to a User and the User’s Account, including User’s personal information and/or financial details and other information mentioned in Our Privacy Policy.
• Services: refer to the services including resources, tools, functionalities and facilities made available to Users on the Platform by PlayArena upon registration of an Account on the Platform by a User
• Virtual Asset(s): shall mean the virtual/digital assets, such as basic and premium virtual avatars, characters,and badges, which Users having an Account on the Platform can opt to acquire by exchanging apre-specified amount of Virtual Currency
• Virtual Currency: or ‘Virtual Currencies’ shall collectively refer to Diamond(s)and Coin(s), both of which comprise digital currency which is native and exclusive to the Platform, and which Users can acquire through various means

3. Acceptance of Terms and General Conditions

By using the Platform in any manner (such as through registering an Account, accessing the Website or Application(s) and/or using or accessing any of the Services, including participating in Competitions), You declare that You have read, understood, and accepted the provisions of these Terms in full and hereby agree to comply with, and be bound by, the Terms. If You do not agree to the provisions of these Terms, You must not register an account, access, use the Platform in any manner such as by receiving any of the Services and/or participating in any Competitions.

We reserve the right, at Our sole discretion, to change, modify, add, or remove portions of these Terms and applicable Policies, at any time without any prior written notice to You. You acknowledge and accept that these Terms and Policies may be amended from time to time and such amendments will become effective and binding on You, from publication, announcement, or communication of the amendment on the Platform.

Feedback. Please contact PlayArena through the form available on the customer care section on the Platform in case You do not understand any portion of these Terms, and have any questions or doubts pertaining to the same such as in relation to PlayArena’s Services and/or the Platform, or if You wish to share Your suggestions/improvements, experience, comments and requests as regards the same (collectively “Feedback”).

In case You have any Grievances (as defined hereinbelow), please contact PlayArena’s Grievance Officer (as defined below) in accordance with these Terms.

4. User Eligibility and Account Registration

To enable Your access and use of the Services available on the Platform, You are obligated to register on the Platform under a unique username, mobile number and/ore-mail address (‘User ID’ or‘Credentials’) by providing PlayArena with the User Information and following the registration process of the Platform as described herein

In-App Purchase and Payment. PlayArena does not charge any fee for registration of an Account on the Platformhowever,You are required to make payment for certain Services on the Platform

Our Services are accessible to all Users through their Account on the Platform, provided, the consent of a Legal Guardian is mandatorily required for authorizing a Minor User to avail the Services and registering an Account on behalf of such Minor User. It is re-iterated that the Legal Guardians of Minor(s) who are User(s) of the Platform and/or avail its Services shall accept and take the responsibility for the Minor(s) use of the Platform

It is re-iterated that by using the Platform in any manner (such as through registering an Account, accessing the Website or Application(s) and/or using or accessing any of the Services), You represent and warrant to PlayArena that You:

• are not a Minor and are of legal age under the Applicable Law and have the legal right, capacity, and power to accept the provisions of these Terms with PlayArena in accordance with the Applicable Law; or,are the legal guardian of a Minor (the ‘Legal Guardian’), who will register the Account and make use of the Platform such as by accessing its Services and participating in the Competitions, and have the legal right, capacity and power to accept the provisions of these Terms in accordance with the Applicable Law;
• have read, understood, and agree at all times to abide by the provisions of these Terms as well as any other policies published on the Platform which are binding and enforceable against You and will revisit the Website, from time to time, to review any updates and amendments to such policies, these Terms and any other Policies as may be published or updated on the Platform from time;
• are an Indian resident, or are physically located in a jurisdiction in which participation in the Competitions and/or use of the Platform and its Services are legally permissible;
• aresolely and entirely responsible for any activity, including any act or omission, that occurs on or throughYour Account. This includes the responsibility of providing correct, valid, complete, accurate and up-to-date User Information at the time of registering an Account and at any time required thereafter and ensuring that the User Information is provided, maintained, and updated regularly as and when necessary, in accordance with the Terms. This further includes the responsibility to maintain control over, and security of, Your Account, such as by not disclosingYour User ID, not sharing Your Account, orallowing anyone other than Yourself to access Your Account and avail Services accessible under Your Account; and
• are qualified to register an Account, access, and use the Platform and Services and meet all requirements under these Terms read together with the applicable Policies published on the Platform (as may be updated from time to time).

5. User Obligations and Responsibilities

Each User acknowledges and accepts that if the relevant User provides any information that is untrue, inaccurate, not current or incomplete as part of the User Information, and/or We have reasonable grounds to suspect that any information provided by the relevant User is untrue, inaccurate, not current or incomplete, or not in accordance with these Terms, We have the right, at Our sole discretion, to (i) request You to promptly update or correct such User Information; and/or (ii) immediately and indefinitely suspend Your Account, block Your access to the Platform, terminate and/or delete Your Account and/or refuse provide any current or future Services to You, as may be offered on the Platform.

You are solely responsible for security of Your Account, and ensuring that Your Credentials are not compromised, shared with anyone, or mishandled. Any loss resulting from the unauthorized use of Your Credentials is Your responsibility alone.

PlayArena shall not bear any liability for any damage or interruptions caused by any computer viruses, spyware, or other malware that may affect Your computer or other equipment, or any phishing, spoofing, or other attack and We advise You to make regular use of a reliable virus and malware screening and prevention software to guard against the same.

You agree that You shall not host, display, upload, modify, publish, transmit, update or share any information or Content on the Platform and / or through use of Our Services that:

• belongs to another person and to which the User does not have any right tounderthe Applicable Law;
• is defamatory, obscene, pornographic, pedophilic, invasive of another's privacy, including bodily privacy, insulting or harassing on the basis of gender, libelous, racially or ethnically objectionable, relating or encouraging money laundering or gambling, or otherwise inconsistent with or contrary to the laws in force;
• is harmful to minors or childrenin any way under the Applicable Law;
• infringes any patent, trademark, copyright or other proprietary rights of any natural or legal person under the Applicable Law; including trade secrets or rights of publicity or privacy, or is fraudulent or involves the sale of counterfeit or stolen items;
• violates any law for the time being in force;
• knowingly and intentionally communicates any information which is patently false or misleading in nature but may reasonably be perceived as a fact or which deceives or misleads the addressee about the origin of such messages or communicates any information which is grossly offensive or menacing in nature;
• impersonate another person or use an anonymous proxy;
• threatens the unity, integrity, defence, security or sovereignty ofIndia, friendly relations with foreign nations, or public order, or causes incitement to the commission of any cognizable offence or prevents investigation of any offence or is insulting other nations;
• contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer resource;
• is patently false and untrue, and is written or published in any form, with the intent to mislead or harass a person, entity or agency for financial gain or to cause any injury to any person;
• would result in the invasion and/or breach of privacy of any person including any User;
• may give rise to any liability on part of PlayArena or cause PlayArena any hindrance (in whole or in part);
• abstract, download, store, reproduce, transmit, display, copy, distribute or use the contents available on the Platform (other than as permitted in these Terms), including but not limited to sending any unsolicited promotional or advertising material or messages.

6. Virtual Currency and Virtual Assets

As part of the Services on the Platform, Users can acquire Virtual Currencies, being the Coins and Diamonds, for exclusive use on the Platform in accordance with these Terms and applicable Policies. The Virtual Currencies can be acquired in the manner mentioned below. Any Virtual Currencies acquired by User(s) are stored in an in-app wallet associated with the User’s Account on the Platform.

• Coins: Users can acquire Coins for free through certain User activities on the Platform subject to applicable Policies, namely: by participating or playing in applicable Competitions on the Platform; through User to User referral schemes which may be facilitated on the Platform by PlayArena; through rewards which PlayArena, in its sole discretion, may grant a User for regular engagement with the Platform under any User reward programs which may be facilitated on the Platform by PlayArena;and through completing tasks such as viewing third-party advertisements or commercials on the Platform.Users also have the option to acquire Coins by making in-app purchases and payments for the Coins in accordance with these Terms and applicable Policies.
• Diamonds: Users can acquire Diamonds onlyby winning in applicable Competitions on the Platform, unless PlayArena, in its sole discretion, grantsDiamonds to a User under any User reward programs or special offers which may be facilitated or run on the Platform by PlayArena, subject to these Terms and applicable Policies. The amount of payment required to be made by a User for acquiring the Coin(s) and/or the number of Coins or Diamonds that a User can acquire in exchange for a particular User activity or by winning in a Competition respectively, is made available for the User’s reference on the Virtual Currency store on the Platform and under applicable Policies, subject to PlayArena’s sole discretion and is further subject to modification without notice from time to time subject to PlayArena’s sole discretion.

Users acknowledge and understand that the Virtual Currency can only be used within the Platform for the purposes expressly authorized by PlayArena within the framework of its Services subject to these Terms and applicable Policies and cannot be converted to any other form or currency. The Virtual Currency holds and/or represents no value of any kind outside of the Platform. The Virtual Currency, once acquired, cannot and shall not be exchanged for real money or fiat currency.

7. Competitions and Prizes

A User, in accordance with these Terms, applicable Competition rules and other Policies, can engage in Competition(s)of the skill-based third-party games listed on the Platform, in which the User(s) may compete online against other User(s) of the Platform

• Private Competition(s). Private Competitions can be hosted or conducted by individual User(s) on the Platform. Users can issue participation invites to other Users on the Platform to participate in a Private Competition, listing the details of the Private Competition and engage in Competitions against Users which have accepted said invites.You acknowledge and agree that PlayArena holds no responsibility for any Private Competitions hosted or conducted by Users on the Platform.
• Inter-College Competition(s).Inter-CollegeCompetitions refer to Inter-College Leagues and Inter-College Leagues and can be accessed only by the User(s) who have linked their Account(s) with the User(s) college or university in the manner mentioned herein.
• PlayArena Competition(s). PlayArena Competitions are hosted and conducted by PlayArena on the Platform and may be held in partnership with Direct Business Partners.

You can play or participate in, or host and conduct any Competition(s) in the manner mentioned above provided You acknowledge and accept that each Competition may be subject to applicable Policies including specific Competition rules i.e. a separate set of conditions and rules in addition to the Terms which may be amended by PlayArena, from time to time, at PlayArena’s sole discretion and User(s) shall be bound by them

If You participate in and win any particular Competition(s),You may receive a prize (in accordance with applicable Competition rules, and only if specified therein). You acknowledge and accept that the aware of any Prize(s) to You is based on final statistics and scoring results fetched by PlayArena on the Platform

• PlayArena Prizes.PlayArena may in its sole discretion, award eligible User(s) a specific amount of Diamond(s) by way of a Prize. Further, PlayArena in partnership with its Direct Business Partner(s) may award User(s) virtual vouchers for use in the Platform. You acknowledge and accept that any such virtual vouchers and the use thereof, in addition to the Terms and applicable Policies, may be subject to terms and conditions of relevant Direct Business Partner(s).
• Third-Party Prizes. Indirect Business Partner(s) may also award User(s) virtual vouchers for use in the Platform. You acknowledge and accept that any such virtual vouchers and the use thereof, in addition to the Terms and applicable Policies, may be subject to terms and conditions of relevant Indirect Business Partner(s).

Prizes awarded to User(s) are not transferrable by the User to another and cannot be sold, traded, or sublicensed (including for monetary exchange or any other value) and are not transferable upon death by operation of the Applicable Law.

PlayArena users are solely responsible for any tax obligations arising from obtaining monetary or non-monetary prizes and PlayArena or any of its payment partners are not responsible for the same.

8. Disclaimer

PlayArena reserves the right to add, amend or discontinue, temporarily or permanently, any of its Services (or any part thereof) offered through the Platform or the design and functionality of the Platform, at any time, with or without notice and/or reason(s) in its sole and absolute discretion.

You agree and acknowledge that the Platform and Services is licensed and/or provided hereunder on an “as is” and “as available” basis, without any warranties of any kind, either express or implied including, but not limited to, the implied conditions and warranties of fitness for a particular purpose to the extent permitted by the Applicable Law.

9. Content and Liabilities

We do not have any ownership over any of the Content shared by You and the rights in the Content remain with You. However, if You use any content developed by Us, such as the Intellectual Property then we shall continue to own the intellectual property rights in such content.

You remain solely responsible for the Content You post on Our Platform. We do not endorse and are not responsible for any Content shared or posted on or through Our Platform, and for the consequence of such sharing or posting

10. Suspension and Cancellation of User Account

PlayArena reserves the rightto immediately disable or terminate or cancelYour Account, terminate, cancel or suspend Your access to the Platform and/or Services at any time, with or without notice to You, in its sole and absolute discretion, in case of Your contravention or violation of these Terms and applicable Policies; or illegal acts or omissions; or misuse of the Services or Platform; or if PlayArena is unable to continue providing the Services to You due to technical or legitimate business reasons.

You may opt to de-activate, cancel, or terminate Your Account and use of any Services by providing written notice of a request for Your Account’s deactivation by submitting a de-activation request form to PlayArena in accordance with the Account de-activation process facilitated by PlayArena on the Platform.

You acknowledge and accept that upon termination of Your Account for any reason, Your agreement with Us shall be terminated, and You shall no longer be entitled to access or use any of the non-public portions of the Platformand Services, including purchased Services such as PlayArena Coins

11. Marketing and Promotion

PlayArena may send Youpromotional or marketing information from time to time, such as regarding Competitions and Prizes, or any new Services and additional features added to the Platform, special offers for User(s), and other information which may be of interest to You.

12. Intellectual Property

Unless expressly provided or disclaimed otherwise in these Terms or any applicable Policies or under any other disclaimer published on the Platform, all material and content on the Platform, including without limitation, texts, software, code, scripts, graphics, rights in get-ups, typographic typefaces, graphic user interface, photos, collages, sounds, music, audio, videos, interactive content, and the like, online databases, copyright, patents, related rights and moral rights, trademarks, trade names, product names, service marks, logos, rights in domain names, social media handles, rights in the design, rights in the information and all other or equivalent rights subsisting now or in future in any part of the world in each case, whether registered or unregistered, and all applications for the same (‘Intellectual Property’), are owned by or licensed to PlayArena and are provided to You on an “as is” basis for Your information and personal use only for the purposes mentioned herein.

13. Limitation of Liability and Indemnification

To the extent permitted by the Applicable Law, PlayArena and any PlayArena Entities shall notbe liable to You for any manner of damages or losses to You, and in relation, to any person(s) or property (including special, incidental, indirect, punitive, or consequential damages or losses) including, but not limited to, lost profits or data, whether based in contract, negligence, tort, Applicable Law, arising directly or indirectly in relation to the Terms, Policies such as Competition rules, the Platform and Services (and any related activities, omissions, interruptions, deletions or defects in the same including any action in connection with an investigation by PlayArena or law enforcement authorities in relation to the use of the Platform and/or Services) and the Content in accordance with these Terms, even if advised of the possibility of such damages.

14. Dispute Resolution

The courts of competent jurisdiction at Bahadurgarh, India (‘Court(s)’) shall have exclusive jurisdiction to determine any and all matter(s), claim(s) or dispute(s), whether contractual or non-contractual arising out of, or in connection with, the Terms, Policies, the Platform and Services provided by Us (‘Dispute(s)) including in relation to the construction, validity, interpretation and enforceability of these Terms, or the rights and obligations of the User or Us, as well as the exclusive jurisdiction to grant interim or preliminary relief in case of any Dispute referred to arbitration in the manner mentioned herein

15. General

The Terms read along with applicable Policies constitute the entire agreement between You and PlayArena in respect of the subject matter herein and supersedes all previous written or oral representations, agreements, and understandings between You and PlayArena, whether expressed or implied, with respect to such subject matter.

16. Grievance Redressal

If any User or aggrieved person (including persons acting on their behalf) has any complaint or grievance in respect of any content on the Platform or any breach of Our Terms, Privacy Policy or any other policy (‘Grievance’) the same can further be addressed to Our designated grievance officer, the name and contact details of whom are published on Our Platform (‘Grievance Officer’).
